1) Today’s deal news(今日のディール)

Accenture launches a take-private tender offer for Global Security Experts (TSE Growth: 4417)

On October 30, 2026, Accenture’s Japanese unit announced a cash tender offer to make Global Security Experts (GSX), a Tokyo cybersecurity firm, a wholly owned subsidiary. The offer price is ¥8,500 per common share and ¥1 per stock acquisition right, and the offer runs from today, November 2, to December 15, 2026 (30 business days). Accenture owns no GSX shares now. It set a minimum tender condition of 983,100 shares, about 66.37% of voting rights, with no upper limit, and has signed non-tender agreements with major shareholders. GSX’s board supports the deal and recommends tendering, backed by an 11-meeting special committee and a J-TAP Advisory valuation (market price and DCF methods). Accenture plans a squeeze-out via share consolidation afterwards, and will fund settlement with ¥60 billion from Accenture Finance. GSX says joining Accenture brings a wider customer base and AI capabilities.

  • “The offer is conditional on reaching a 66.37% minimum, and we’d expect the non-tender commitments from major holders to make that threshold achievable.”
  • “Closing is conditional on merger control clearance, and we’d expect approval to come through by end-January.”

4) Quiz(小测验)

Today’s questions:

  1. What is Accenture’s tender offer price per GSX common share, and when does the offer period end?
  2. What is the minimum tender condition in shares and as a percentage of voting rights, and what step comes after the offer succeeds?

Answers to the previous quiz (NSSK × Broadmedia):

  1. NSSK’s TOB price for Broadmedia (4347) is ¥2,500 per share, and the offer period runs from Oct 30 to Dec 14, 2026.
  2. Tender agreements cover 40.00%, but the minimum tender threshold is 66.20%, so other shareholders also need to tender or NSSK buys nothing.
