Accenture launches ¥8,500 tender offer to take Global Security Experts private

Accenture’s Japan unit started a tender offer (TOB, 要约收购) on November 2 for Global Security Experts (GSE, 4417), a cybersecurity firm listed on the TSE Growth market. The offer price is ¥8,500 per share and the offer runs until December 15 (30 business days). GSE’s board endorsed the deal and recommended that shareholders tender. Two major shareholders, together holding about 60%, will not tender; instead they agreed to exit after a squeeze-out (挤出/强制收购). The minimum tender condition is 983,100 shares (6.48% of voting rights), which, combined with the big holders, secures a two-thirds special resolution. The price rose over four proposals, from a non-binding ¥4,650 in June to ¥8,500. GSE will skip its year-end dividend. Settlement starts December 22, funded with about ¥60bn of group cash.

  • “In our client update: the consideration was negotiated up by roughly 20% over two rounds, reflecting competitive tension from a second bidder.”

4) Quiz 小测验

Q1. What is Accenture’s offer price per GSE share, and when does the offer period end?

Q2. Why is the minimum tender condition set at only 6.48% of voting rights?

Answers will appear in the next post. 答案见下一期。

Answers to yesterday’s quiz (Accenture × GSE):

  1. The offer price is ¥8,500 per GSE common share (¥1 per stock acquisition right), and the offer period ends on December 15, 2026.
  2. The minimum tender condition is 983,100 shares, or 6.48% of voting rights (not 66.37% as stated yesterday). Together with the ~59.83% held by the two major shareholders under non-tender agreements, this secures a two-thirds special resolution. After the offer succeeds, Accenture plans a squeeze-out via share consolidation to make GSE a wholly owned subsidiary.
